1. Acceptance of Terms

By installing, accessing, or using the API SHIP application ("App") from the Shopify App Store, you ("Merchant," "you") agree to these Terms of Service ("Terms") and our Privacy Policy. The App is operated by WS24, Luka Asatiani 61, 6010 Batumi, Georgia ("WS24," "we," "us"). If you do not agree, you must uninstall the App immediately.

2. Definitions

• App: The API SHIP Shopify application, including its embedded admin interface, Admin Block extensions, and background worker processes.
• Connector: An integration configuration that defines how data flows between Shopify and a third-party API.
• Execution: A single run of a connector, consisting of one or more HTTP request steps.
• Connector Library: The catalog of pre-built and AI-generated connector templates available within the App.
• Third-Party API: Any external service (courier, ERP, CRM, etc.) that the Merchant connects through the App.
• Logic Hooks: Conditional rules (IF/THEN) that control connector execution flow.

3. Description of Service

API SHIP is an AI-powered no-code integration platform that enables Shopify merchants to connect external services by providing API documentation. The App uses artificial intelligence to generate connector configurations, provides a visual editor for field mapping and logic rules, and executes HTTP request chains on behalf of the Merchant.

4. Subscription Plans & Billing

All billing is processed through the Shopify Billing API. You will be charged through your Shopify account. By subscribing, you authorize Shopify to charge the applicable fees.

• Subscriptions are billed monthly through Shopify.
• You may upgrade or downgrade your plan at any time. Changes take effect at the next billing cycle.
• Refunds are subject to Shopify's billing policies.
• Exceeding plan limits may result in throttled executions until the next billing cycle or plan upgrade.

5. Merchant Responsibilities

• API Credentials: You are solely responsible for the security of third-party API keys and tokens you enter into the App. Do not share credentials with unauthorized parties.
• Connector Configuration: You are responsible for verifying that your connector mappings and logic rules produce correct results before using them in production.
• Data Compliance: You must ensure you have the legal basis to transmit customer data (names, addresses, phone numbers) to the third-party APIs you configure. You are the Data Controller for your customers' data.
• Third-Party Terms: Your use of external APIs through the App is subject to those services' own terms and conditions. We are not a party to those agreements.
• Acceptable Use: You may not use the App for illegal activities, spam, unauthorized data collection, or any purpose that violates Shopify's Terms of Service.

6. AI-Generated Content Disclaimer

The App uses Google Gemini AI to generate connector configurations from API documentation. AI-generated connectors are provided as a starting point and may require manual review and adjustment. We do not guarantee that AI-generated configurations will be 100% accurate, complete, or error-free. You should always test connectors in sandbox mode before using them with live data.

7. Third-Party API Disclaimer

API SHIP acts as a middleware that sends requests to external APIs on your behalf. We are not responsible for the availability, accuracy, or performance of third-party APIs. If a courier API is down, returns errors, or produces incorrect labels, that is between you and the third-party provider. We will make reasonable efforts to detect and report such failures through our execution logging system.

8. Service Availability

• We aim for 99.5% uptime but do not guarantee uninterrupted service.
• Scheduled maintenance will be announced at least 24 hours in advance when possible.
• We are not liable for downtime caused by Shopify platform outages, third-party API failures, or force majeure events.
• Pro plan merchants receive priority queue processing during high-load periods.

9. Intellectual Property

• App IP: All App code, design, AI models, and connector library content are the intellectual property of WS24.
• Your Data: You retain ownership of all data you input into the App (credentials, configurations, business data).
• Connector Templates: AI-generated connector templates created from your API documentation are licensed to you for use within the App. We may use anonymized connector patterns to improve the service.

10. Limitation of Liability

• The App is provided "AS IS" without warranties of any kind, express or implied.
• We are not liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the App.
• Our total liability for any claim related to the App shall not exceed the amount you paid us in the 12 months preceding the claim.
• We are not liable for losses caused by incorrect AI-generated configurations, third-party API failures, or merchant misconfiguration.

11. Termination

• By You: You may uninstall the App at any time through your Shopify admin. Upon uninstall, your subscription is canceled and all data is deleted within 48 hours.
• By Us: We may suspend or terminate your access if you violate these Terms, engage in abusive API usage, or fail to pay subscription fees.
• Effect of Termination: All connector configurations, credentials, and execution logs are permanently deleted. This action cannot be reversed.

12. Governing Law

These Terms are governed by the laws of Georgia. Any disputes shall be resolved in the courts of Batumi, Georgia. For EU-based merchants, mandatory consumer protection laws of your country of residence apply to the extent they override these Terms.

13. Changes to These Terms

We may update these Terms from time to time. We will notify you of material changes at least 30 days before they take effect, via the email associated with your Shopify store or through an in-app notification. Continued use of the App after changes constitutes acceptance.
